This Agreement (“Agreement”) is between Blissful Births (“Blissful Births”) and the doula practitioner (“Doula”), and it becomes effective upon the Doula’s acceptance for listing on the Blissful Births platform.

1. Membership

1.1. Doula Membership: The Doula agrees to join the Blissful Births platform as a member and commits to paying a monthly membership fee of $20 USD. This fee will be automatically deducted from the Doula’s chosen payment method each month.

1.2. Data Privacy: The Doula acknowledges that any information provided on the Blissful Births platform will not be shared with third parties without explicit consent.

2. Liability and Responsibility

2.1. Platform Role: Blissful Births operates solely as a platform connecting Doulas with expectant mothers seeking doula services. Blissful Births does not provide doula services. The relationship between the Doula and the client is independent of Blissful Births.

2.2. Conduct: Blissful Births does not assume responsibility for any actions or behavior of the Doula beyond the matching process. Any disputes, liabilities, or issues arising between the Doula and the client are the sole responsibility of the Doula.

2.3. Certification: The Doula is responsible for maintaining current certifications, including first aid, CPR, and police checks. These certifications must be submitted to Blissful Births before the expiry date of previously submitted certifications. These must be submitted to [email protected]. Blissful Births doesn’t hold liability for doulas falsifying documents, certifications, police checks or other information portrayed on their profile.

3. Termination

3.1. Right to Terminate: Blissful Births reserves the right to terminate this Agreement and remove the Doula from the Blissful Births platform under the following conditions:

3.1.1. Violation of Code of Conduct: If the Doula breaches the Blissful Births Code of Conduct, as detailed in a separate document provided upon platform acceptance.

3.1.2. Non-Payment: If the Doula fails to pay the monthly membership fee promptly (if outstanding for more than 7 business days).

3.1.3. Certification: If the Doula fails to maintain up-to-date certifications, including first aid, CPR, and police checks, and neglects to upload (as per section 2.3) the necessary up-to-date certifications before the expiry of previously submitted certifications. 

4. Indemnification

4.1. Liability Protection: The Doula agrees to indemnify and protect Blissful Births, including its affiliates, directors, officers, employees, and agents, from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from the Doula’s use of the Blissful Births platform, services provided to clients, or any breach of this Agreement.

5. Governing Law and Jurisdiction

5.1. Legal Framework: This Agreement is governed by the laws of Indonesia.

6. Entire Agreement

6.1. Comprehensive Agreement: This Agreement constitutes the entire understanding between Blissful Births and the Doula concerning the Doula’s membership on the Blissful Births platform. It supersedes all prior or contemporaneous oral or written agreements.

7. Modification

7.1. Agreement Updates: Blissful Births reserves the right to modify this Agreement at any time. Changes will be communicated to the Doula via email or through the Blissful Births platform. Continued use of the platform after modifications signifies the Doula’s acceptance of these changes.

8. Request for Removal

8.1. Doula’s Right to Request Removal: The Doula has the option to request removal from the Blissful Births platform. To initiate this process, the Doula must submit a written request to [email protected]

8.2. Processing Requests: Blissful Births will process such removal requests within a reasonable timeframe. Upon approval of the request, Blissful Births will remove the Doula from the platform.

8.3. Position Forfeiture: If the Doula chooses to be removed from the Blissful Births platform, Blissful Births has no obligation to reserve or hold the Doula’s position. Given the exclusivity of this platform, the vacant spot may be offered to another qualified Doula.

8.4. Reapplication: If the Doula wishes to be relisted on the Blissful Births website after requesting removal, the Doula must reapply and undergo the vetting process again and sign a new membership agreement.

9. Use of Platform and Content Ownership

9.1. Platform Usage: The Doula agrees to use the Blissful Births platform solely for the purpose of providing doula services and connecting with expectant mothers. The Doula shall not use the platform for any unauthorized or unlawful purposes.

9.2. Content Ownership: All content, including but not limited to text, images, videos, and any other materials displayed on the Blissful Births platform, is the exclusive property of Blissful Births. The Doula acknowledges and agrees that they do not acquire any ownership rights or licenses to use, reproduce, or distribute the platform’s content for their own brand or purposes.

9.3. Prohibition of Negative Content: The Doula shall not post or share any negative or derogatory content about Blissful Births that may harm the reputation or goodwill of Blissful Births or its services. This includes, but is not limited to, negative reviews, comments, or statements on public forums or social media platforms.

9.4. Non-Disparagement: The Doula agrees not to engage in any activities that could disparage Blissful Births, its services, or its reputation, both during the term of this Agreement and thereafter.

9.5. Remedies for Violation: In the event of a violation of clauses 9.2, 9.3, or 9.4, Blissful Births reserves the right to take legal action to protect its rights and reputation. Such actions may include seeking damages, injunctive relief, or any other remedies available under applicable laws.

By signing the Doula acknowledges having read, comprehended, and consented to all the terms and conditions described herein.
